Architectural Language & Design Guidelines
All structures in Zone A must conform to the Adaba Design Code: natural materials (wood, stone, clay-tone finishes), low-rise maximum 2 floors, mandatory setbacks and greenery, approved colour palette (earth tones, no primary colour facades). Residents who self-build must submit architectural plans to the Adaba Design Committee for approval. The goal: drive through Adaba Reserve in 10 years and it should look like a masterplan, not a collection of individual whims. The aesthetic coherence IS the asset value.

Expression of Interest & Reservation
Prospective buyer or tenant submits an EOI form via the Adaba website or through an authorised agent. A refundable reservation deposit (₦100,000 / ~$65) is paid to hold the selected plot or unit for 14 days while the KYC process is completed. No reservation without a deposit — this filters serious buyers from curious browsers. The reservation is fully refunded if KYC fails through no fault of the applicant.

Government-issued ID required: NIN (National Identification Number), International Passport, or Driver's License. For diaspora applicants: passport + country-of-residence national ID or residence permit. Verification powered by a KYC API partner — Dojah, Smile Identity, or Onfido — with liveness check to prevent document fraud. Results in 30 minutes. Fully remote-capable for diaspora buyers.

Source of Funds Declaration (Threshold-Based)
For transactions above ₦50M or $30,000 equivalent: 3 months of bank statements and either an employment letter, business registration certificate, or tax returns. This is light-touch AML (anti-money laundering) compliance — it protects Adaba's reputation and protects sellers from inadvertently facilitating illicit funds. Nigerian real estate has historically been a money laundering vector. Adaba will not be. This policy is a selling point, not a burden.

Community Charter Sign-Off
Every resident — owner or tenant — signs the Adaba Community Charter before receiving their card. The Charter governs: architectural design rules for self-builds, noise and conduct standards, guest management policy (maximum guests per week, overnight guest protocol), pet ownership rules, subletting permissions and limits, commercial activity restrictions in Zone A, security compliance obligations. The Charter is legally binding. Serious or repeated violations activate a formal dispute process and, in extreme cases, a forced exit with fair compensation.

Resident attends an in-person enrolment session at the Adaba Transport Hub (or a designated enrolment centre for diaspora, e.g., Lagos, Abuja, London, Toronto). Fingerprint scan and photo taken. Data stored securely on the Adaba platform. Physical smart card issued same day. Card registered on the Adaba app with the resident's account. All access is tied to this biometric — the card cannot be used by anyone else without triggering a flag at the gate reader.

At every entry point: Step 1 — tap card at the NFC reader (automated biometric match against stored profile). Step 2 — security officer performs visual confirmation against the photo displayed on their screen. Both checks must pass. Any mismatch triggers an escalation: officer holds the individual, notifies security command, resident is contacted. Visitors and guests: resident approves entry via app notification → guest receives a time-locked QR pass → pass scanned at gate → guest directed to permitted zones only. No card. No entry. Proposed Deal Structure — Two Options
Option A — Hybrid (Recommended): Ruona sells Olu X plots outright at the agreed discounted price (these are held in the Adaba SPV). The remaining plots enter a Joint Development Agreement (JDA): Ruona contributes land value, Olu contributes development capital, brand, and execution. Revenue from JDA plots split by contribution weighting — typically negotiated at 40–60% or 45–55% depending on relative land and capital values. Legal agreement required before any money moves.

Option B — Equity Exchange: Ruona contributes all 200 plots to Adaba Reserve Ltd in exchange for equity in the company (agreed % based on land valuation). Olu retains majority equity and operational control. Ruona participates in all upside through dividends and eventual exit. This preserves Olu's capital for construction and makes Ruona a committed co-investor in the outcome.
⚠️ Non-Negotiables Before Signing Anything
1. Title verification first. Before any agreement is signed, a solicitor must confirm the C of O status and absence of encumbrances on all 200 plots. Ruona's integrity is not in question — but Nigerian land title is complicated and surprises happen. Protect both parties.

2. Decision-making authority defined. Who has final say on: pricing decisions, vendor approvals, construction contracts, hiring, marketing? Define this now. Ambiguity at this stage becomes a lawsuit at Year 3.

3. Minimum price floor agreement. Neither party can sell a plot below an agreed minimum price without the other's written consent. Prevents either party from dumping inventory cheaply under financial pressure.

4. Adaba brand ownership. The Adaba Reserve brand, trademark, domain, and IP belongs to Olu's entity. Land is Ruona's contribution. Brand is Olu's contribution. Make this explicit.

5. Exit clause. What happens if one party wants out after Year 1? Defined buyout formula, right of first refusal, vesting schedule. Plan for the worst so the friendship survives it.
